By installing or using eephus ("Service"), you agree to these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our Service.

2. Description of Service

eephus is an AI-powered Slack bot that automates agile processes including:

• Daily standups with intelligent scheduling
• Sprint retrospectives with sentiment analysis
• Anonymous team surveys and feedback collection
• JIRA integration for project management
• Team health monitoring and insights

3. User Accounts and Billing

3.1 Account Registration

Installation requires a Slack workspace with administrator permissions. You represent that you have authority to bind your organization to these Terms.

3.2 Subscription Plans

• Free Plan: Up to 5 users, basic features, 30-day data retention
• Pro Plan: $3/user/month, advanced features, 1-year data retention
• Enterprise Plan: $8/user/month, premium features, unlimited data retention

3.3 Billing Terms

• Subscriptions are billed monthly or annually in advance
• Charges are non-refundable except as required by law
• Price changes require 30-day advance notice
• Usage is calculated based on active users (28-day period)

4. Acceptable Use Policy

4.1 Permitted Use

You may use ScrumDog for legitimate business purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities

You may not:

• Violate any laws or regulations
• Transmit harmful, offensive, or inappropriate content
• Attempt to reverse engineer or compromise our systems
• Use the Service to spam or harass users
• Share login credentials or exceed usage limits
• Use the Service for competitor analysis or benchmarking

5. Data Rights and Responsibilities

5.1 Your Data

You retain ownership of all data you provide to ScrumDog. We process your data solely to provide the Service as described in our Privacy Policy.

5.2 Data Security

We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for:

• Maintaining confidentiality of sensitive information
• Configuring appropriate access controls in Slack
• Promptly reporting suspected security incidents

5.3 Data Backup and Export

We maintain regular backups and provide data export functionality. You are responsible for maintaining independent backups of critical data.

6. Intellectual Property

6.1 Our Rights

ScrumDog, its AI models, algorithms, and related technology are our proprietary intellectual property protected by applicable laws.

6.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use ScrumDog solely for your internal business purposes during your subscription term.

6.3 Feedback

Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation.

7. Third-Party Integrations

7.1 Slack Integration

ScrumDog operates within Slack's platform and is subject to Slack's Terms of Service and Privacy Policy.

7.2 JIRA Integration

JIRA connectivity requires separate Atlassian credentials and is governed by Atlassian's terms.

7.3 AI Services

We use OpenAI and other AI services for natural language processing and sentiment analysis, subject to their respective terms.

8. Service Availability and Performance

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance.

8.2 Performance

Service performance may vary based on usage patterns, network conditions, and third-party service availability.

8.3 Feature Updates

We regularly update ScrumDog with new features and improvements. Some updates may change existing functionality with advance notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
• YOU USE THE SERVICE AT YOUR OWN RISK

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Service in violation of these Terms
• Your data or content that infringes third-party rights
• Your negligent or wrongful conduct

11. Termination

11.1 By You

You may terminate your subscription at any time through your billing portal or by uninstalling the app. Paid subscriptions continue until the end of the current billing period.

11.2 By Us

We may terminate or suspend your access immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or harmful activity

11.3 Effect of Termination

Upon termination, your access to the Service will cease, and your data will be deleted according to our retention policy.

12. Changes to Terms

We may modify these Terms periodically. Material changes will be communicated through:

• Email notification to workspace administrators
• In-app notifications
• Website updates with revision date

Continued use after notification constitutes acceptance of the updated Terms.

13. Governing Law and Disputes
